gChem sees ownership change

ContextLogic Holdings and its newly formed subsidiary GCH Buyer have entered into a definitive agreement to acquire gChem, the holding company of Gaylord Chemical and its subsidiaries, from EagleTree Capital and others. Subject to closing conditions, this should be completed by the end of 2026

The deal gives gChem an enterprise value of $850 million. ContextLogic has secured committed equity financing of up to $870 million, and committed debt financing led by Blackstone Credit & Insurance, made up of a $250 million term loan and a $25 million revolving credit facility.

gChem supplies speciality chemicals to the pharmaceuticals, semiconductors, agrochemicals, performance chemicals and aerospace sectors. It pioneered the commercial manufacture of dimethyl sulfoxide (DMSO). Procipient, its pharmaceutical grade, is supported by an active Type II Drug Master File with the US FDA.

gChem operates a highly automated, vertically integrated manufacturing complex in Tuscaloosa, Alabama. The facility is fully back-integrated into its basic building blocks, which are all domestically sourced, and has long-term arrangements with key suppliers. It makes its own critical precursors on site.

ContextLogic describes itself as “a publicly traded business ownership platform established to acquire, own and build a collection of niche, competitively advantaged, long-duration businesses”. gChem will be its second operating business following the acquisition of US Salt in February 2026. CEO Frank Roederer will remain place, having signed a new five-year agreement
